Team Swaps provides a platform that enables businesses (“Clients”) to source, evaluate, and engage remote professionals (“Service Providers”).

Our services include:
Talent sourcing based on Client requirements
Candidate screening and shortlisting
Facilitating interviews between Clients and Service Providers
Ongoing coordination and administrative support after engagement

Team Swaps does not employ Service Providers and does not directly deliver project work.

3. Engagement Process

Client creates an account and submits requirements
Team Swaps sources and shortlists candidates
Client interviews and selects Service Providers
Engagement begins under agreed terms

Final hiring decisions are made solely by the Client.

4. Nature of Relationship

Service Providers are independent contractors
No employer-employee relationship exists between Team Swaps and Service Providers
Team Swaps acts solely as a facilitator and coordination provider

5. Contracts & Duration

Engagements may be:
Fixed-price
Hourly
Minimum engagement duration : 6 months
Clients may request replacement of Service Providers during this period, subject to availability and transition timelines.

7. Coordination & Management Support

Team Swaps may assist with :
Communication between Clients and Service Providers
Task tracking and coordination
Performance feedback and issue handling
However:

These services are administrative and facilitative in nature and do not constitute direct supervision or control over Service Providers.

8. Responsibility for Work

Service Providers are solely responsible for:
Work quality
Delivery timelines
Project outcomes
Clients are responsible for :
Defining requirements clearly
Reviewing and approving deliverables

Team Swaps does not guarantee project success, timelines, or outcomes.

9. Dispute Resolution

Team Swaps may assist in resolving disputes by:
Reviewing issues
Facilitating communication
Suggesting replacements or solutions
However :
Team Swaps does not act as a legal arbitrator
Final responsibility remains with Clients and Service Providers

10. Replacement Policy

Clients may request replacement of Service Providers.

Team Swaps will:
Make reasonable efforts to provide suitable alternatives
Support smooth transitions

Replacements are subject to availability.

11. Acceptable Use

Users agree not to:
Engage in illegal or fraudulent activity
Misuse the platform
Circumvent Team Swaps to directly engage Service Providers outside the platform

12. Intellectual Property

All content, branding, and materials on the platform are owned by Team Swaps. Unauthorized use or reproduction is prohibited.

13. Termination

Team Swaps reserves the right to:
Suspend or terminate accounts
Remove users
Cancel services

At any time, with or without notice.

14. Limitation of Liability

To the fullest extent permitted by law, Team Swaps shall not be liable for:
Project delays or failures
Actions or omissions of Service Providers
Loss of business, revenue, or profits
Any indirect or consequential damages

15. Modifications

We may update these Terms at any time. Continued use of the platform means you accept the updated Terms.

16. Governing Law

These Terms are governed by the laws of Ontario, Canada.
